VeriTrack Agent Terms and Conditions

These Agent Terms and Conditions ("Agreement") govern your engagement as an independent agent for VeriTrack Systems. By applying or acting as an agent, you agree to comply with these terms. If you do not agree, do not proceed.

1. Purpose

VeriTrack Systems appoints the Agent as a non-exclusive independent agent to introduce potential clients (businesses or institutions) to VeriTrack. Upon successful referral and subscription, the Agent is entitled to a referral commission.

2. Agent Requirements

• Communication & Networking: Able to identify and connect with businesses, and clearly explain VeriTrack benefits using official materials.
• Integrity & Professionalism: Referrals must be made in good faith with accurate contact details. Uphold ethical standards and represent VeriTrack professionally.
• Basic Tech Literacy: Able to use referral links, email, WhatsApp, and phone for communications and follow-ups.
• No Conflict of Interest: Cannot promote or be affiliated with competing services. Must maintain confidentiality.
• Location: Preferably based in Ghana or familiar with the Ghanaian market.
• Independent Contractor: Must agree to work as an independent agent (not an employee). Commission is paid once per client, based on their first subscription payment.

Optional but advantageous: Experience in sales, marketing, or business development; access to relevant networks; familiarity with HR or attendance systems.

3. Agent Responsibilities

• Identify and connect prospective clients to VeriTrack Systems.
• Share approved marketing materials and explain platform benefits.
• Ensure all referrals are made in good faith with accurate contact details.
• Represent VeriTrack ethically and professionally.

4. Commission Structure

• Agents receive a commission of up to 20% on the first successful payment made by each referred business, based on their selected subscription plan (Monthly, Quarterly, Semi-Annual, or Annual).
• Commission is one-time per client referral, not recurring.
• Example: If a client subscribes to the Enterprise Plan (₵9600/annual), agent receives 20% of ₵9600 = ₵1920.
• Commissions are payable within 14 business days of payment confirmation via Mobile Money or Bank Transfer.
• Commissions apply only if the agent was the first to refer the client (tracked via unique Agent ID).

4. Agency Ranking System

Agents are ranked into three tiers based on the total number of active paying client referrals. Each tier unlocks higher commission rates and additional benefits.

5. Duration and Termination

• This Agreement is valid for 12 months from the effective date and renews automatically unless terminated.
• Either party may terminate with 15 days' notice.
• Commissions due before termination will still be honored.

6. Confidentiality

Agents agree not to disclose any sensitive company information, client data, or internal strategies without written permission.

7. Relationship of Parties

This Agreement does not create an employer-employee relationship. The Agent is an independent contractor and is not entitled to company benefits or reimbursements unless specified.

8. Amendments

VeriTrack reserves the right to revise commission rates or terms with prior notice of 30 days.

9. Maintaining Agent Active Status

To maintain an active agency status and remain eligible for commissions and platform perks:

• Agents are required to refer at least one paying client every calendar month.

Grace Period & Flexibility

• A 15-day grace period is allowed at the beginning of the following month to meet the monthly referral quota.
• Agents who fail to meet the quota within this period will be temporarily moved to inactive status and referrals during this period will not count to receive a commission.

Workaround

• An inactive agent may retain their status by paying a ₵100 reactivation fee, which will restore their active status for 30 days.

10. Governing Law

This Agreement shall be governed by the laws of the Republic of Ghana.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the first date of registration.
